These Terms of Service (“Terms”) govern your access to and use of the HaulFlow website, web application, and mobile apps (together, the “Service”). Please read them carefully. By creating an account or using the Service, you agree to these Terms.
The Service is provided by GO Farms & Cattle LLC (“HaulFlow,” “we,” “us,” or “our”). If you are using the Service on behalf of a company, you agree to these Terms for that company and confirm you have authority to do so. In these Terms, “you” and “your” mean that company and its authorized users.
1. The Service
HaulFlow is fleet and load-management software for trucking companies and owner-operators. It includes tools for dispatch, driver records and compliance, document storage, location-based mileage and arrival tracking, and billing. We may add, change, or remove features over time.
2. Eligibility and Accounts
- You must be at least 18 years old and able to enter into a binding contract.
- You are responsible for the accuracy of the information in your account and for all activity that occurs under it.
- You are responsible for keeping login credentials confidential and for the actions of users you invite, including drivers who access the driver portal.
- Notify us promptly of any unauthorized use of your account.
3. Subscriptions, Billing, and Payment
- Plans and fees: Access to paid features requires a subscription at the rates shown when you sign up. Introductory or promotional rates (for example, special pricing for early owner-operators) apply only as described at the time of purchase.
- Payment processing: Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method for the applicable fees.
- Renewal: Subscriptions automatically renew for successive periods unless you cancel before the renewal date.
- Cancellation: You may cancel at any time; cancellation takes effect at the end of the current billing period.
- Changes to pricing: We may change fees on a going-forward basis with reasonable notice. Changes do not affect the period you have already paid for.
- Taxes: Fees are exclusive of taxes, which are your responsibility where applicable.
4. Your Data and Ownership
The information you enter into HaulFlow — including your customers, rates, loads, driver records, and other business data (“Customer Data”) — belongs to you. As between you and us, you retain all rights to your Customer Data. You grant us only the limited rights needed to host, process, secure, back up, and deliver the Service to you.
We do not sell your Customer Data, and we do not share it with other customers or with third parties for their marketing.
5. Our Access to Your Account
We will not access, view, or use the contents of your account for our own purposes. We access your account’s contents only in these limited situations:
- when you ask us to — for example, when you request support or report a problem and grant us access so we can investigate and resolve it;
- where strictly necessary to operate, secure, monitor, or back up the Service (such as automated systems and routine maintenance); or
- where required by law or valid legal process.
Apart from these situations, your customers, rates, loads, and other business information remain private to your organization, and we will not look at them.
6. Location Tracking and Driver Consent
The Service includes location features that, with permission, collect a driver’s precise device location — including in the background — to calculate IFTA mileage, log geofenced arrivals and departures at stops, and track active loads. These features are described in our Privacy Policy.
You are responsible for your drivers. If you use HaulFlow to track drivers, you are responsible for informing each affected driver that location is collected, explaining how it is used, and obtaining any consent required by law or by your agreements with them. We provide the tool; you, as the employer or carrier, are responsible for lawful and transparent use of it with your drivers. You agree to comply with all applicable laws regarding employee monitoring and location data.
7. SMS Messaging Program
HaulFlow may send operational SMS text messages to commercial truck drivers on behalf of the freight carriers who use the Service. These messages include load assignments, pickup and delivery confirmations, account credentials, and other dispatch-related notifications. This section describes the SMS program and forms part of these Terms.
HaulFlow uses SMS to send operational dispatch notifications to drivers. Drivers must explicitly opt in to receive these messages. SMS consent is never a condition of service.
Consent. When a driver is hired, the carrier enters the driver's phone number into the Service and creates the driver's portal login credentials. Creating those credentials triggers an opt-in text message inviting the driver to consent to the SMS program. The driver must reply YES to affirmatively opt in; no further SMS messages, load assignments, or login credentials are sent until the driver replies YES. Consent to receive SMS messages is not required as a condition of employment or use of the Service.
Message frequency and cost. Message frequency varies based on dispatch activity and is not fixed. Message and data rates from your mobile carrier may apply.
Opt-out and help. A driver may opt out at any time by replying STOP to any message, and may resume by replying START. Reply HELP to any message for assistance, or contact us at sales@turtlelogisticsllc.com.
Full details of our SMS practices, including how phone numbers are collected, used, and protected, are set out in our Privacy Policy.
8. Acceptable Use
You agree not to:
- use the Service unlawfully or for any unlawful purpose;
- upload content you do not have the right to use, or that infringes others’ rights;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, copy, or resell the Service except as permitted by law; or
- use the Service to track individuals without a lawful basis and required notice or consent.
9. Confidentiality
Each party may access information of the other that is confidential. We treat your Customer Data as confidential and protect it as described in these Terms and our Privacy Policy. You agree to keep non-public information about the Service confidential.
10. Intellectual Property
The Service, including its software, design, and the HaulFlow name and logo, is owned by us and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We reserve all rights not expressly granted.
11. Third-Party Services
The Service relies on third parties such as Stripe (payments) and our cloud hosting and mapping providers. Your use of those features may be subject to those providers’ terms. We are not responsible for third-party services we do not control.
12. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that mileage, geofence, or tracking data will be perfectly accurate. You are responsible for verifying records used for tax, payroll, or legal purposes.
13. Limitation of Liability
To the maximum extent permitted by law, HaulFlow and GO Farms & Cattle LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless HaulFlow and GO Farms & Cattle LLC from claims, damages, and expenses arising out of your use of the Service, your Customer Data, your tracking of drivers, or your violation of these Terms or applicable law.
15. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access if you violate these Terms or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends; we will make your Customer Data available for a reasonable period for export unless prohibited by law.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
17. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Texas, unless applicable law requires otherwise.
